1. Introduction & Acceptance of Terms

Welcome to Doughy, a product of Secondly Homes LLC (doing business as “Secondly”) (“Company,” “we,” “our,” “us”). By using, visiting, or interacting with any of our services — including the Doughy mobile and web application — you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

These Terms of Service constitute a legally binding agreement between you and Secondly Homes LLC regarding your use of our services. If you do not agree with any part of these terms, please do not use our services.

You must be at least 18 years of age to use our services. By accessing or using our services, you represent and warrant that you are at least 18 years of age.

2. Description of Services

Doughy is a mobile and web application for real estate investors and landlords to manage deals, properties, contacts, leads, portfolios, and rental operations. Features include AI-powered analysis, call coaching, CRM, SMS communications, call recording and transcription, automated briefings, draft message generation, and approval workflows.

3. User Accounts

To use our services, you must register for an account. You agree to:

• Provide accurate and complete registration information.

• Maintain the security of your account credentials and not share them with others.

• Notify us immediately of any unauthorized access to your account.

• Accept responsibility for all activities that occur under your account.

Each person may maintain only one account. We reserve the right to suspend or terminate accounts that violate these terms.

4. SMS/Text Messaging Terms

By creating an account, providing your phone number, and consenting to receive text messages, you agree to receive SMS messages from Secondly Homes LLC related to our services.

How We Collect Consent

Consent to receive SMS messages is collected through multiple channels:

• In-app: When users create an account and add contacts with phone numbers in the Doughy application, a consent disclosure is displayed. Users acknowledge that SMS messages may be sent on their behalf.

• Existing business relationships: Tenants who provide their phone numbers as part of lease agreements or property management onboarding consent to receive service-related text messages.

• Website: Property owners who submit their phone number and inquiry through doughy.app or secondlyhomes.com consent to receive follow-up communications.

Message Types and Frequency

Messages may include service notifications, AI-generated briefings, draft reply suggestions, call summaries, follow-up reminders, property management updates, maintenance coordination, and responses to your inquiries. Message frequency varies based on your account activity and settings.

Msg & data rates may apply. Not all carriers are supported. Carriers are not liable for delayed or undelivered messages.

SMS consent is not a condition of purchase or use of any of our services.

5. AI-Powered Features

Our services use artificial intelligence to provide features such as call transcription, deal analysis, briefings, and draft message generation. You acknowledge and agree that:

• AI outputs are suggestions and should not be relied upon as professional legal, financial, or investment advice.

• You are responsible for reviewing all AI-generated content before acting on it or approving it for delivery.

• AI-generated outbound messages (SMS, email) require your explicit approval before they are sent.

• If you enable autonomous features — such as auto-approved SMS replies, automated lead follow-ups, or AI-initiated outbound calls — you accept responsibility for actions taken on your behalf. Autonomous features are always opt-in and can be disabled at any time through Bouncer, our built-in safety controls.

• We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

6. Acceptable Use

You agree not to use our services to:

• Send unsolicited bulk messages (spam) via SMS or any other channel.

• Misuse AI features to generate misleading, harmful, or fraudulent content.

• Violate the Telephone Consumer Protection Act (TCPA) or any other applicable communications law.

• Attempt to gain unauthorized access to our systems or other users' data.

• Violate any applicable federal, state, or local laws or regulations.

• Interfere with or disrupt the operation of our services.

7. User Content

You retain ownership of all content you submit to our services, including property data, contacts, notes, and communications. By submitting content, you grant Secondly Homes LLC a non-exclusive, worldwide, royalty-free license to use, store, process, and display that content as necessary to provide our services.

You are responsible for the accuracy of the information you provide. You are also responsible for having appropriate consent from the contacts, leads, and other individuals whose information you store in our platform.

8. Call Recording

Doughy provides call recording and transcription features. You are solely responsible for complying with applicable federal, state, and local laws regarding call recording, including but not limited to obtaining consent from all parties to a call where required.

Doughy provides disclosure features to assist you with consent compliance, but you are responsible for ensuring that your use of call recording is lawful in your jurisdiction.

9. Intellectual Property

All content, features, functionality, software, and design of our services are owned by Secondly Homes LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, duplicate, copy, sell, or exploit any portion of our services without express written consent.

10. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that our services will be uninterrupted, secure, or error-free.

We do not guarantee the accuracy of AI-generated content, including call transcriptions, briefings, deal analysis, or draft messages. Our services do not constitute professional legal, financial, or investment advice.

11. Limitation of Liability

To the maximum extent permitted by law, Secondly Homes LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to damages arising from AI-generated suggestions, missed communications, or service interruptions.

Our total liability for any claims arising from your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Secondly Homes LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your misuse of SMS features in violation of TCPA or other applicable laws.

• Your failure to comply with call recording consent laws applicable to your jurisdiction.

• Actions you take in reliance on AI-generated content without appropriate professional verification.

• Your violation of these Terms of Service.

13. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall be conducted in Virginia. The arbitrator's award shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

If you are accessing our services from outside the United States, you agree that these Terms are governed by the laws of the Commonwealth of Virginia and that any disputes will be resolved in accordance with this section. By using our services, you consent to the transfer of your data to the United States, where our servers and operations are located.

14. Account Termination

You may cancel your account at any time by contacting us at hello@doughy.app or through your account settings. Upon cancellation:

• Your access to the platform will be revoked at the end of your current billing period.

• Your data will be retained for 30 days following cancellation to allow for reactivation. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.

• Any unused Ops Credits or calling minutes will not be refunded upon cancellation.

We reserve the right to suspend or terminate your account immediately if you violate these Terms of Service, engage in fraudulent activity, or use the platform in a manner that harms other users or our systems.

15. DMCA & Copyright Policy

We respect intellectual property rights and expect our users to do the same. If you believe that content available through our services infringes your copyright, you may submit a DMCA takedown notice to our designated agent:

Your notice must include:

• A description of the copyrighted work you claim has been infringed.

• A description of the material you claim is infringing, with enough detail to locate it on our platform.

• Your contact information (name, address, phone number, and email).

• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.

• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

• Your physical or electronic signature.

We will respond to valid DMCA notices promptly and may remove or disable access to the allegedly infringing content. Repeat infringers may have their accounts terminated.

16. Force Majeure

Secondly Homes LLC shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power failures, internet or telecommunications outages, cyberattacks, or failures of third-party service providers (including AI model providers, cloud infrastructure, and communication platforms).

During any such event, our obligations under these Terms will be suspended for the duration of the event. We will make reasonable efforts to resume normal operations as soon as practicable.

17. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by email or through in-app notification. Your continued use of our services after changes are posted constitutes your acceptance of the updated terms.

18. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
